Terms of Use


These Terms of Use govern access to and use of the TOPHS Training online learning platform, course materials and related services.

By registering for, accessing or participating in any TOPHS Training course, you agree to comply with these Terms of Use.

TOPHS Training Ltd (“TOPHS Training”, “we”, “our” or “us”) is part of the TOPHS Holdings Ltd group of companies.



1. Course Access and Eligibility

Access to courses is provided solely for the registered delegate’s personal professional education and training purposes.

Delegates must:

  • provide accurate registration information;
  • maintain the confidentiality of login credentials;
  • ensure that access to courses is not shared with any third party;
  • comply with all applicable laws and professional standards while using the platform.

TOPHS Training reserves the right to suspend or terminate access where misuse, unauthorised sharing, fraudulent activity or breach of these Terms is suspected.



2. Online Learning Platforms

Courses may be delivered using third-party learning and communication platforms including:

  • Teachable;
  • Zoom;
  • Microsoft 365;
  • assessment and survey platforms;
  • cloud-based educational systems.

Delegates are responsible for ensuring they have suitable:

  • internet access;
  • devices;
  • software;
  • browser compatibility;
  • audio/video capability where required.

TOPHS Training is not responsible for interruptions caused by delegate equipment failures, internet outages or third-party platform disruptions.



3. Intellectual Property and Copyright

All course materials remain the intellectual property of TOPHS Training or its licensors, including but not limited to:

  • presentations;
  • videos;
  • recordings;
  • written materials;
  • assessments;
  • downloadable resources;
  • graphics;
  • templates;
  • audio content;
  • online learning materials.

Delegates may:

  • access course materials for their own personal educational use only;
  • download or print materials where explicitly permitted.

Delegates must not:

  • reproduce, copy or redistribute materials;
  • share resources externally;
  • upload materials to websites, forums or cloud-sharing systems;
  • record live sessions;
  • photograph or screenshot teaching materials;
  • modify, adapt or create derivative works from course content;
  • use materials for commercial teaching or training purposes;
  • upload course materials, recordings or assessments into artificial intelligence (AI) or generative AI systems, including large language models or automated content-generation tools, without prior written permission from TOPHS Training;
  • use automated tools, bots, scraping technologies or data extraction methods against the platform or course materials.

Unauthorised use of materials may result in:

  • removal from courses;
  • suspension of platform access;
  • withdrawal of certification;
  • legal action where appropriate.


4. Recording of Sessions

Live online sessions may be recorded for purposes including:

  • educational delivery;
  • revision access;
  • quality assurance;
  • moderation and assessment review;
  • faculty training;
  • attendance monitoring;
  • course administration.

Recordings may include delegate names, voices, images, questions, comments and participation.

By participating in live sessions, delegates acknowledge and agree that recording may occur as part of normal course delivery.

Access to recordings will normally be restricted to authorised delegates, faculty members and administrators.



5. Delegate Conduct and Acceptable Use

Delegates are expected to behave professionally and respectfully at all times.

Delegates must not:

  • engage in abusive, discriminatory, threatening or inappropriate behaviour;
  • disrupt teaching sessions or platform operations;
  • impersonate another individual;
  • attempt unauthorised access to systems or accounts;
  • introduce malware or malicious software;
  • misuse discussion forums, messaging systems or collaborative tools.

TOPHS Training reserves the right to suspend or terminate access without refund where behaviour is considered inappropriate, unlawful or disruptive.



6. Payments, Cancellations and Course Changes

Course fees and payment arrangements are governed by the applicable booking terms and Delegate Agreement.

TOPHS Training reserves the right to:

  • amend course schedules, faculty, content or delivery methods where reasonably necessary;
  • postpone or cancel courses where operationally required or where minimum delegate numbers are not achieved.

Where a course is cancelled by TOPHS Training, delegates may be offered:

  • a transfer to an alternative course date; or
  • a refund of fees paid where appropriate.


7. Privacy and Data Protection

TOPHS Training processes personal information in accordance with:

  • the UK General Data Protection Regulation (UK GDPR);
  • the Data Protection Act 2018;
  • and other applicable data protection legislation.

Personal information may be processed for:

  • course administration;
  • learner support;
  • assessments and certification;
  • quality assurance;
  • platform access;
  • regulatory compliance;
  • communication and related educational purposes.

8. Third-Party Links and Services

The learning platform may contain links to third-party websites or services.

TOPHS Training is not responsible for:

  • the content of external websites;
  • third-party privacy practices;
  • external services or software availability.

Access to third-party websites is at the user’s own risk.



9. Disclaimer

Course materials and educational content are provided for professional educational purposes only.

While TOPHS Training makes reasonable efforts to ensure accuracy and quality, we do not guarantee that:

  • materials will always be complete, current or error-free;
  • access to the platform will be uninterrupted;
  • course content will meet every individual or organisational requirement.

Nothing within the training materials constitutes legal, medical, occupational health or professional advice unless explicitly stated.



10. Limitation of Liability

To the fullest extent permitted by law, TOPHS Training shall not be liable for:

  • indirect or consequential losses;
  • loss of profits, business or opportunity;
  • data loss;
  • interruption to services caused by third-party providers;
  • delegate equipment or connectivity failures.

Nothing in these Terms excludes liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any liability which cannot lawfully be excluded under English law.


11. Changes to These Terms

TOPHS Training reserves the right to update or amend these Terms of Use at any time.

Updated versions will be published through the learning platform or associated websites.

Continued use of the platform following updates constitutes acceptance of the revised Terms.



12. Governing Law

These Terms of Use shall be governed by and interpreted in accordance with the laws of England and Wales.

Any disputes arising in relation to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
